One of the principal areas of our tax practice is the structuring and planning of significant transactions affecting privately-held businesses and their owners. We advise our clients on the federal and state taxation of entities (e.g., partnerships, limited liability companies, subchapter C corporations, and subchapter S corporations). As part of transactional tax planning, we work with our business clients, their accountants, and their other advisors to structure sales, acquisitions, and other transactions in a tax-efficient manner.
For many of our clients, their businesses represent a significant part of their wealth, and we help them design business succession plans that coordinate with their broader estate planning goals.
We advise our clients on New Hampshire tax issues, including the business profits tax, the business enterprise tax, the interest and dividends tax, and the real estate transfer tax. For example, we represented a REIT on real estate transfer tax issues in the connection with its merger with another REIT.
In our work with our nonprofit clients, we help them obtain and maintain their tax-exempt status. We assist clients in the formation of public charities, private foundations, and other nonprofit organizations. We advise nonprofit organizations on structuring charitable and for-profit activities, structuring and operating joint ventures with for-profit businesses, and managing unrelated business taxable income.
We also advise charitable organizations on charitable giving, including designing split-interest trusts and handling gifts of complex, non-cash assets. In addition, we advise charitable organization on cross-border philanthropy. For example, we provided U.S. tax advice on the formation of one of the first dual-qualified charitable organizations.
We advise individuals and fiduciaries on income, gift, estate, and generation skipping transfer tax issues. As a part of estate planning and business succession planning, we help individuals design and implement plans that achieve their goals in a tax-efficient manner. We advise individuals and fiduciaries on international tax issues.
We help our clients navigate the peculiarities of New Hampshire taxes. For example, we help our clients to structure and transfer their real estate holdings in a manner that minimizes or avoids the real estate transfer tax.
We represent clients in connection with federal, state, and local tax controversies. In connection with our trusts and estates practice, we handle complex gift and estate tax audits. In property tax matters, we have successfully achieved significant reductions in the assessed values of commercial properties and personal residences.
